These terms govern your use of Vigilare. Please read them carefully — by using the Service you agree to be bound by them.

By accessing or using Vigilare (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not access or use the Service. We may update these Terms from time to time; continued use of the Service after any update constitutes acceptance of the revised Terms.
Vigilare is a cloud-based SaaS platform that monitors connected AWS accounts for policy violations, billing anomalies, and security findings, and delivers alerts to prevent account suspension. The Service operates via a read-only cross-account IAM role you provision in each AWS account you choose to monitor.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must be at least 18 years old and legally permitted to enter into contracts in your jurisdiction to use the Service. By registering, you represent that you meet these requirements.
You must notify us immediately at legal@vigilare.cloud if you become aware of any unauthorised use of your account or any other security breach. We are not liable for losses caused by unauthorised use of your account.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
You may not attempt to gain unauthorised access to any part of the Service, its infrastructure, or systems connected to it. You may not use automated tools to scrape, stress-test, or interfere with the Service.
You may only connect AWS accounts for which you have legitimate administrative authority. You must not use the Service to monitor accounts you do not own or have explicit authorisation to monitor.
You must not use the Service to facilitate illegal activity, transmit malicious code, or infringe the intellectual property rights of others.
You may not reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the Service.
Paid plans are billed in advance on a monthly or annual basis. All fees are quoted in USD and are exclusive of applicable taxes, which you are responsible for paying.
Payments are processed by Stripe. By providing payment details, you authorise us to charge the applicable fees to your payment method on the billing cycle you select.
If a payment fails, we will retry according to our billing retry schedule and notify you. If payment remains outstanding after the retry period, we may suspend your access to the Service until the balance is settled.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless otherwise required by applicable law.
Fees are non-refundable except as required by law or at our sole discretion. If you believe you have been charged in error, contact us within 30 days of the charge.
You retain all rights to your AWS account data and any other content you provide to the Service. You grant us a limited licence to process your data solely to deliver the Service as described in our Privacy Policy.
Where we process personal data on your behalf, we do so as a data processor under the terms of our Data Processing Addendum (DPA), which is incorporated into these Terms for customers subject to GDPR or similar regulations.
On request, we will provide you with an export of your findings and configuration data in a machine-readable format within 30 days.
Upon account deletion or termination of your subscription, your data will be purged from our systems within 30 days, except where we are required by law to retain it longer.
The Service, including its software, algorithms, design, trademarks, and documentation, is owned by Vigilare and its licensors. These Terms do not transfer any ownership rights to you.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during your subscription term.
If you submit feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual licence to use that feedback for any purpose without obligation to you.
Each party agrees to keep the other's confidential information (including pricing, technical details, and business information) confidential and not to disclose it to third parties without prior written consent, except as required by law or with the disclosing party's approval. This obligation survives termination of these Terms for a period of three years.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any specific finding will be detected. The Service is a monitoring tool and does not guarantee that your AWS account will not be suspended.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIGILARE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Vigilare, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
You may terminate your account at any time by cancelling your subscription and deleting your account from the account settings page.
We may suspend or terminate your access to the Service immediately if you breach these Terms, if your payment is overdue, or if we are required to do so by law. We will provide notice where reasonably practicable.
On termination, your licence to use the Service ceases immediately. Sections on intellectual property, confidentiality, disclaimers, liability, indemnification, and governing law survive termination.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before initiating formal legal proceedings, you agree to contact us at legal@vigilare.cloud and attempt to resolve any dispute in good faith. If resolution cannot be reached within 30 days, either party may pursue legal remedies.
Any legal action arising from these Terms must be brought in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
These Terms, together with the Privacy Policy and any applicable DPA or order form, constitute the entire agreement between you and Vigilare regarding the Service and supersede any prior agreements.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
